General Terms of Purchase

1. Acceptance of Buyer’s order, or the commencement of any work or supply of any goods thereunder shall constitute acceptance of these terms and conditions which are the only terms and conditions upon which Buyer is prepared to do business with Seller. Any conditions of sale issued by Seller which conflict with the terms and conditions hereunder shall be of no effect. There shall be no variation in these terms and conditions unless otherwise expressly agreed in writing by both parties.

2. No goods or services shall be invoiced to Buyer unless the official order document is signed by a duly authorised official of Buyer and the official order acknowledgement which accompanies the official order is returned to Buyer signed by a duly authorised official of Seller.

3. All goods and services supplied shall be accompanied by a delivery note quoting the purchase order number. All packages shall be marked with Buyer’s code number (if applicable) and order number, as must all communication regarding the said purchase order.

4. All deliveries shall be carriage paid unless otherwise agreed.

5. The goods shall be at Seller’s risk at all times until they have been delivered to their destination in accordance with the order. Delivery, subject to clause 7 hereof, shall be accepted by Buyer on signature of the delivery note by a duly authorised employee of Buyer. Title and property to the goods shall pass when delivery is accepted. Seller warrants that the goods shall be delivered free of any lien, charge or incumbrance, and Buyer shall not hold the goods so delivered in a fudiciary capacity or as bailee.

6. If delivery is delayed beyond the time specified for delivery in the official order document, Buyer may in writing call for delivery within not less than 3 days and may terminate this contract if delivery is not made at or before the time specified.

7. Seller warrants the description and merchantable quality and fitness for the purpose required of the goods and that the goods will be in accordance with samples and/or the contract specifications. Should there be any defect in the goods or in their quality or fitness or should the goods not correspond to their description or to samples or to the contract specifications or otherwise not be in accordance with this contract, Buyer may at any time reject the goods (provided that, as regards any defects which may be reasonably revealed by inspection, Buyer exercises such right within a reasonable time of the arrival of the goods at their final destination) without prejudice to the Buyer’s right to claim any loss or damage arising therefrom, and/or to rescind the contract, and/or to demand delivery of goods which are not defective and which correspond and are in accordance with this contract as aforesaid. Buyer may return any rejected goods to Seller at Seller’s risk and expense.

8. Corporate Social Responsibility

8.1 Seller warrants and represents that it is conducting business in a manner that meets or exceeds the ethical, legal, commercial and public expectations that society has of business to contribute to a better society and a cleaner environment as well as integrating social and environmental concerns in its business operations and in its interaction with stakeholders.

8.2 In particular Seller shall comply with all applicable anti-slavery and human trafficking laws, statutes and regulations from time to time in force including but not limited to the Modern Slavery Act 2015 and shall not engage in any activity, practice or conduct that would constitute an offence under sections 1, 2 or 4 of the Modern Slavery Act 2015 if such activity, practice or conduct were carried out in the UK.

9. This contract shall be governed by and construed in accordance with the laws of England. This contract shall be deemed to have been made in England whatever the domicile, residence or place of business of the parties to this contract.
